Acceptance of Terms


By registering for, purchasing, or continuing to utilize a membership at The Factory, or by renting conference room space as a non-member, you (“Member” or “Renter,” as applicable) agree that the services provided by Work The Factory LLC (“The Factory”) are subject to the terms and conditions of this Membership and Facility Use Agreement (“Agreement”).


The Factory may update or amend this Agreement at any time. Changes will be communicated via email or posted on The Factory’s website and take effect immediately upon notice unless otherwise stated. By continuing to access or use any of The Factory’s Services or Premises after notice of changes, you agree to the updated terms.


If you are accepting this Agreement on behalf of a company, organization, or other entity, you represent and warrant that you have full authority to bind that entity to these terms. Your acceptance is binding on both you individually and your organization or entity and its other employees, agents, or representatives who may utilize the Services or Premises.


“Services” refers to all amenities and resources provided by The Factory, including office space, workstations, Internet access, conference rooms, and related facilities. “Premises” refers to The Factory’s physical location at 77 Monroe Center St NW, Suite 600, Grand Rapids, MI 49503, including all appurtenant common areas and elements.


Automatic Renewal and Cancellation Policy


Recurring Memberships


All recurring memberships renew automatically at the end of each billing cycle unless canceled prior to renewal. By maintaining an active membership, you authorize The Factory to automatically charge the applicable membership fee to your payment method on file for each renewal period.


For monthly and dedicated private-office memberships, members must provide at least thirty (30) days’ notice before the next renewal date to cancel. Failure to provide timely notice will result in automatic renewal and charge for the next term, which is likewise non-refundable once processed.


Cancellation requests must be submitted in writing via email to [email protected].


Non-Renewing Services (Day Passes and Rentals)


Certain services and short-term memberships, including day passes, hourly passes, and conference room rentals, are not automatically renewing. These must be purchased or renewed manually. All payments for such non-renewing Services are due in full at the time of booking or registration and are non-refundable, except where The Factory, in its sole discretion, cancels or reschedules a reservation.


If The Factory cancels or closes the Premises due to emergencies, maintenance, or other circumstances, reasonable efforts will be made to reschedule or issue a credit at The Factory’s discretion.


Description of Services


The Factory provides access to office space (dedicated or non-dedicated), workstations, Internet access, office equipment, conference space, knowledge resources, and other services as The Factory may provide from time to time. Availability of specific equipment, rooms, or amenities is not guaranteed and may vary depending on maintenance schedules or usage levels.


Conference room rentals are available to both members and non-members, subject to availability and payment in advance. Non-members who rent conference rooms receive a limited, temporary license to use only the reserved conference space and any specifically designated amenities during the booked time period. Conference room access ends automatically at the conclusion of the reserved time, and additional use may incur extra charges. Non-members do not receive access to member-only spaces or privileges unless separately authorized.


The Factory does not guarantee privacy, noise isolation, or exclusive access outside of reserved timeframes. All users must respect others’ use of adjacent or shared areas.


All Services are subject to this Agreement.


Use of Services


Compliance and Conduct


You agree not to:



  • Maintain or store any inventory of goods upon the Premises without written permission from The Factory staff;

  • Use the Premises for illegal purposes;

  • Tamper with, borrow, or remove property kept in another member’s or renter’s area without their express permission;

  • Cause or permit any hazardous substance to be used, stored, generated, released, or disposed of on or in the Premises (“Hazardous” as determined solely by The Factory); or

  • Act in a manner that, in The Factory’s sole discretion, does or is likely to adversely affect the peaceful operation and enjoyment of the Premises by others.


You further acknowledge and agree that:



  • You are responsible for all guests brought into the Premises and their compliance with these terms;

  • You must maintain both your area (or office or conference room) and all common areas in a neat, clean, and sanitary condition;

  • Any signs, symbols, or pictures placed on windows, doors, or interior walls require The Factory’s prior approval;

  • If your membership includes a dedicated office, you will keep it reasonably free of clutter, and The Factory staff may access it when necessary for maintenance or business operations;

  • This Agreement constitutes a license for use of membership services or conference room rentals, not a lease or tenancy;

  • The Factory reserves the right to suspend or terminate access without refund for conduct deemed unsafe, disruptive, or inconsistent with community standards; and

  • You are financially responsible for any damage you, your guests, or your representatives cause to The Factory’s facilities, walls, furnishings, fixtures, or equipment. The Factory may invoice you for the cost of repairs or replacements, which must be paid promptly upon receipt.


Miscellaneous Terms


All Services are provided on an “as is” basis without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. The Factory does not warrant uninterrupted or error-free access to Services or integrations with third-party platforms.


The Factory may utilize third-party providers for Internet, printing, booking, or other services. Such integrations are provided “as available” and are subject to their respective terms of use. The Factory disclaims all liability for outages, interruptions, or third-party system failures.


Members and renters are responsible for insuring their own personal property. The Factory does not provide insurance coverage for any loss, theft, or damage to personal belongings.


Waiver of Liability


You waive any and all liability of, and release any claims against, The Factory (including its employees, agents, affiliates, parent company, subsidiaries, owners, and landlord) for any injuries, losses, damages, or expenses, whether direct, indirect, incidental, consequential, or punitive, arising out of or connected to:



  • Your use of the Services or the Premises;

  • The actions, omissions, misconduct, or negligence of other members, renters, guests, or invitees; or

  • Any theft, loss, property damage, or bodily injury occurring on or about the Premises.


This waiver applies even if The Factory was advised of the possibility of such damages or if such damages arise in whole or in part from The Factory’s own negligence. You expressly acknowledge that The Factory has no control over, and bears no responsibility for, the conduct of other members, renters, employees, contractors, guests, or invitees.


This waiver and the following assumption of risk provision survive termination or expiration of this Agreement.


Assumption of Risk


You voluntarily assume all risks associated with the shared use of The Factory’s facilities, including those arising from interactions or proximity with other members, renters, or guests; use of shared equipment; and participation in events or communal activities.


Indemnification


If The Factory is subject to any complaint, claim, or legal action arising from your use of the Services, your guests, or your conduct on the Premises, you agree to indemnify and hold harmless The Factory from any and all resulting costs, damages, losses, liabilities, or attorney’s fees, including claims brought by third parties, payable as they are incurred.


Arbitration


All disputes arising under or relating to this Agreement or the Services shall be settled by binding arbitration conducted in Grand Rapids, Michigan, under the Commercial Arbitration Rules of the American Arbitration Association. Each party shall bear its own costs and attorney’s fees unless otherwise awarded by the arbitrator. Arbitration awards may be enforced in any court of competent jurisdiction.


Acknowledgment


By registering for, purchasing, or continuing to use The Factory’s membership, conference room rental, or Services, you acknowledge that you have read, understood, and agree to be bound by this Agreement. You further acknowledge that you are waiving legal rights by releasing The Factory from liability for the actions, omissions, or negligence of other members, renters, and their guests.


Electronic acceptance, including clicking “Agree,” completing checkout, or making payment for Services, constitutes your legally binding consent to this Agreement. If you are accepting these terms on behalf of a company or organization, you represent that you have authority to bind that entity and that both you and it are jointly bound by this Agreement.
